Staal Trailers — Trailer Rental & Purchasing

Article 1 — Definitions

In these general terms and conditions, the following definitions apply:

1. Staal Trailers: the company that rents out and purchases trailers, hereinafter also referred to as "lessor" or "buyer".
2. Lessee: the natural person or legal entity that rents a trailer from Staal Trailers.
3. Seller: the natural person or legal entity that sells a trailer to Staal Trailers.
4. Trailer: any semi-trailer, trailer or other vehicle rented out or purchased by Staal Trailers, including all accessories and attachments.
5. Rental Agreement: the agreement between Staal Trailers and the lessee regarding the rental of one or more trailers.
6. Rental Period: the period agreed upon in the rental agreement during which the lessee may use the trailer.
7. In Writing: by letter, email or any other electronic means of communication.

Article 2 — Applicability

1. These general terms and conditions apply to all offers, quotations, agreements and deliveries by Staal Trailers.
2. Deviations from these conditions are only valid if agreed upon in writing.
3. The applicability of any purchase or other conditions of the lessee or seller is expressly rejected.
4. If one or more provisions in these conditions are void or annulled, the remaining provisions shall remain in full force.

Article 3 — Offers and Quotations

1. All offers and quotations from Staal Trailers are non-binding and valid for 14 days, unless stated otherwise.
2. Staal Trailers cannot be held to a quotation if the lessee or seller can reasonably understand that the quotation contains an obvious error or mistake.
3. Quoted prices are exclusive of VAT, unless expressly stated otherwise.

Article 4 — Formation of Rental Agreement

1. A rental agreement is formed at the moment Staal Trailers confirms the lessee's request in writing, or at the moment Staal Trailers makes the trailer available to the lessee.
2. Staal Trailers reserves the right to refuse a request without stating reasons.
3. When entering into the agreement, the lessee must identify themselves with a valid identity document and a valid driving licence (category CE). Additionally, Staal Trailers may require a Chamber of Commerce extract and/or a credit check.

Article 5 — Rental Period and Extension

1. The rental period commences on the date agreed upon in the rental agreement and ends on the agreed return date.
2. Extension of the rental period must be requested in writing at least 48 hours before the expiry of the original rental period and confirmed by Staal Trailers.
3. If the rental period is exceeded without prior consent, Staal Trailers is entitled to charge a surcharge of 150% of the regular daily rate for each day of overrun.
4. If the overrun exceeds 7 days without consent, Staal Trailers reserves the right to file a report of embezzlement.

Article 6 — Rental Price and Payment

1. The rental price is determined in the rental agreement. Unless otherwise agreed, the rental price is due per day, week or month.
2. Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.
3. In case of late payment, the lessee is in default by operation of law and Staal Trailers is entitled to charge statutory commercial interest, plus extrajudicial collection costs of at least 15% of the outstanding amount with a minimum of EUR 250.00.
4. Staal Trailers is entitled to require a security deposit prior to making the trailer available. The amount of the deposit is determined on a case-by-case basis.
5. The security deposit will be refunded within 14 working days after return of the trailer in good condition and after settlement of any outstanding costs.

Article 7 — Delivery and Return

1. Delivery takes place at the agreed address or at the Staal Trailers location. Delivery costs are borne by the lessee, unless otherwise agreed.
2. Upon delivery, a joint inspection is carried out and the condition of the trailer is recorded in a condition report. The lessee signs this report for approval.
3. Upon return, a joint inspection is also carried out. Deviations from the delivery condition report are at the expense of the lessee.
4. The trailer must be returned clean and in the same condition as at delivery. Insufficient cleaning will result in cleaning charges.
5. The lessee is responsible for the trailer from the moment of delivery until the moment the trailer is returned to and accepted by Staal Trailers.

Article 8 — Use of the Trailer

1. The lessee is obliged to use and maintain the trailer with due care in accordance with the operating instructions.
2. The lessee is not permitted to:
   • sublet the trailer or make it available to third parties without written consent from Staal Trailers;
   • use the trailer outside the EU without written consent;
   • use the trailer for the transport of hazardous substances (ADR) unless the trailer is certified for this purpose and written consent has been given;
   • make modifications to the trailer, including but not limited to advertising, structural modifications or removal of parts;
   • use the trailer for illegal purposes or in violation of laws and regulations;
   • exceed the maximum load capacity of the trailer.
3. The lessee is responsible for compliance with all traffic and transport legislation during the use of the trailer.
4. Traffic violations and fines incurred during the rental period are entirely at the expense of the lessee.

Article 9 — Maintenance, Damage and Defects

1. Staal Trailers delivers the trailer with a valid MOT inspection and in good technical condition.
2. Regular maintenance during the rental period is the responsibility of the lessee.
3. Damage resulting from careless use, negligence or overloading is at the expense of the lessee.
4. The lessee is obliged to report any damage, theft, loss or defect immediately (within 24 hours at the latest) in writing to Staal Trailers.
5. In case of theft or vandalism, the lessee is obliged to file a police report immediately.
6. The lessee is not permitted to carry out repairs without prior written consent.
7. Staal Trailers offers 24/7 technical support in case of breakdowns.

Article 10 — Insurance

1. The lessee is obliged to adequately insure the trailer during the entire rental period, at minimum against liability, comprehensive and theft.
2. Upon first request, the lessee must provide proof of insurance.
3. The insurance excess is at all times at the expense of the lessee.
4. If the lessee fails to adequately insure the trailer, the lessee is fully liable for all damage.

Article 11 — Liability

1. The liability of Staal Trailers is limited to the invoice amount of the relevant rental agreement.
2. Staal Trailers is not liable for indirect damage, consequential damage, lost profits or damage to third parties.
3. The lessee indemnifies Staal Trailers against claims from third parties related to the use of the rented trailer.

Article 12 — Force Majeure

1. Staal Trailers is not obliged to fulfil any obligation if prevented by force majeure.
2. If the force majeure situation continues for more than 30 days, both parties are entitled to dissolve the agreement.

Article 13 — Retention of Title

1. The trailer remains the property of Staal Trailers at all times.
2. Staal Trailers is entitled to immediately reclaim the trailer if the lessee fails to meet its obligations.

Article 14 — Purchasing of Trailers

1. The seller guarantees that they are the full owner of the offered trailer and that all information provided is correct and complete.
2. If after purchase it appears that information was incorrect, Staal Trailers retains the right to dissolve the purchase agreement.
3. Staal Trailers reserves the right to revise its offer after inspection.

Article 15 — Dissolution and Termination

1. Staal Trailers is entitled to dissolve the agreement with immediate effect in case of default, bankruptcy or violation of these conditions.
2. Early termination by the lessee is possible with a notice period of at least 7 days.

Article 16 — Privacy

1. Staal Trailers processes personal data in accordance with the GDPR.
2. Data will not be provided to third parties, unless legally required.

Article 17 — Complaints

1. Complaints must be submitted in writing within 7 days.
2. Filing a complaint does not suspend the payment obligation.

Article 18 — Applicable Law

1. All agreements are exclusively governed by Dutch law.
2. Disputes will be submitted to the competent court in the district where Staal Trailers is established.

3. What Personal Data Do We Process?

We process the following personal data when you use our services or contact us:

• Identity data: first and last name, date of birth, copy of identity document (for rental agreements)
• Contact data: address, phone number, email address
• Company data: company name, Chamber of Commerce number, VAT number, position
• Driving licence data: licence number, category, expiry date
• Financial data: bank account number (IBAN), payment details, creditworthiness data
• Rental data: rental period, trailer type, location data for delivery/return
• Communication data: content of messages via contact form, email, WhatsApp or phone
• Website data: IP address, browser type, pages visited, referring website (via Google Analytics)

4. Purposes of Processing

We process your personal data for the following purposes:

1. Performance of agreements: drafting and executing rental and purchase agreements, including identity verification and credit checks.
2. Customer service: answering questions and requests via contact form, phone, email or WhatsApp.
3. Invoicing and accounting: sending invoices, processing payments and fulfilling fiscal obligations.
4. Legal obligations: complying with statutory retention periods and cooperating with court orders.
5. Website analysis: analysing website usage to improve our services.
6. Security: preventing fraud and protecting our property (trailers).

5. Legal Bases

We process personal data based on the following legal grounds:

• Performance of a contract: necessary for entering into and executing rental or purchase agreements.
• Legal obligation: fiscal retention requirements, identification obligation for vehicle rental.
• Legitimate interest: property protection, fraud prevention, website analysis.
• Consent: for sending commercial messages (where applicable).

6. Sharing with Third Parties

We only share your personal data with third parties when necessary:

• Accountant/administration office: for financial administration and tax returns.
• Insurance companies: for damage reports or claims.
• Credit agencies: for creditworthiness checks on new lessees.
• Government authorities: when legally required (police, tax authorities).
• Google Analytics: for anonymised website statistics (see section 9).

We never sell your data to third parties for commercial purposes.

7. Retention Periods

We do not retain your personal data longer than necessary:

• Rental agreements and invoices: 7 years after termination (fiscal retention obligation).
• Identity data and driving licence copies: up to 1 year after the end of the last agreement.
• Contact form messages: maximum 1 year after resolution.
• Website data (Google Analytics): 14 months.
• Application data: maximum 4 weeks after completion of the procedure, unless consent is given for longer retention.

8. Your Rights

Under the GDPR, you have the following rights:

1. Right of access: you can request which personal data we process about you.
2. Right to rectification: you can have incorrect or incomplete data corrected.
3. Right to erasure: you can request deletion of your data ("right to be forgotten").
4. Right to restriction: you can request restriction of the processing of your data.
5. Right to data portability: you can receive your data in a common format.
6. Right to object: you can object to the processing of your data.
7. Right to withdraw consent: where processing is based on consent.

9. Cookies and Google Analytics

Our website uses Google Analytics to gain insight into visitor behaviour. Anonymised data is collected, including:

• Pages visited and duration of visit
• Referring websites
• Device and browser information
• Anonymised IP address

We have entered into a data processing agreement with Google. The last octet of your IP address is masked. Data is not shared with other Google services. You can opt out via the Google Analytics Opt-out Browser Add-on.

10. Security

We take appropriate technical and organisational measures to protect your personal data against unauthorised access, loss or misuse. This includes:

• SSL/TLS encryption on our website
• Secure storage of physical documents
• Access restriction to personal data on a need-to-know basis
• Regular evaluation of security measures

11. Complaints

12. Changes

Staal Trailers reserves the right to modify this privacy policy. The most current version is always available on our website. In case of significant changes, we will inform you accordingly.
